TK Operating provides independent operational and strategic services for creator-led businesses, including but not limited to product strategy, system design, funnel setup, operational execution, and related consulting services.
The exact scope of services is defined individually and agreed upon separately for each collaboration. No services are provided unless explicitly agreed in writing.
2. No Guarantees
TK Operating does not guarantee specific results, including but not limited to revenue, profit, audience growth, conversion rates, or business success.
Outcomes depend on multiple factors outside our control, including content quality, audience engagement, market conditions, and creator execution. All services are provided on a best-effort basis.
3. Roles and Responsibilities
Client Responsibilities
Creating and publishing content
Providing timely approvals and decisions
Supplying accurate information and access where required
Acting as the public face and voice of their brand
TK Operating Responsibilities
Strategy, systems, and operational execution as agreed
Technical setup and process implementation
Operational optimization and reporting (where applicable)
Clear communication and a single decision-maker on the client side are required for effective collaboration.
4. Performance-Based Partnerships & Payments
Compensation models, including performance-based or revenue-share arrangements, are agreed on a case-by-case basis.
No payment obligation exists unless explicitly agreed in writing. TK Operating reserves the right to decline or terminate collaborations at its discretion.
5. Intellectual Property
Unless otherwise agreed:
All creator content remains the property of the creator.
Operational systems, frameworks, and documentation developed by TK Operating may be reused unless exclusivity is contractually agreed.
No transfer of intellectual property occurs without explicit written agreement.
6. Confidentiality
Both parties agree to treat non-public information shared during collaboration as confidential and to use such information solely for the purpose of the collaboration.
7. Limitation of Liability
To the maximum extent permitted by law, TK Operating shall not be liable for indirect, incidental, consequential, or economic damages, including loss of revenue, profits, data, or business opportunities.
Liability is limited to cases of intent or gross negligence. Liability for ordinary negligence is excluded where legally permissible.
8. Termination
Either party may terminate discussions or collaborations at any time unless otherwise agreed in writing.
Termination does not create entitlement to future services, compensation, or results.
9. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany.
Place of jurisdiction, where legally permissible, is Germany.
10. Changes to These Terms
TK Operating reserves the right to update these Terms at any time. The version published on the website at the time of use applies.
